OpenAI announced it has reorganized into a for-profit public benefit corporation (P.B.C.), creating a new parent entity called OpenAI Group PBC while the original nonprofit becomes the OpenAI Foundation. The company says the OpenAI Foundation retains control, and ownership is split roughly 26% for the nonprofit, 27% for Microsoft (its largest investor), and 47% for current/former employees and other investors; both the foundation and Microsoft reportedly hold stakes valued around $130 billion. The restructuring was completed after negotiations with Delaware and California attorneys general. For the AI/ML community, the change matters because it potentially unlocks far greater capital for compute, data, and talent needed to train frontier models, while aligning OpenAI with peers like Anthropic and xAI that use similar hybrid legal structures.
